Norvestia Oyj is is a public limited company registered in Finland whose B share is listed on the Nasdaq OMX Helsinki Ltd. In its decisionmaking and administration Norvestia Oyj complies with Finnish legislation, particularly the Finnish Companies Act, the Securities Market Act and the Accounting Act as well as the rules of Nasdaq OMX Helsinki Ltd and Norvestia Oyj’s articles of association.
The Annual General Meeting is the company's highest decision-making body and it normally convenes once a year. The AGM elects the chairman, vice chairman and other members of the Board of Directors as well as the auditors, and decides on their remuneration.
Norvestia Oyj's Board of Directors is responsible for the organization and control of the company’s administration and operations and attends to that the company's asset management is appropriate. Furthermore the Board appoints the Managing Director and decides on his/her remuneration. The Managing Director attends to the day-to-day administration of the company in accordance with the instructions and regulations laid down by the Board of Directors.
